Terms of Service

These Terms of Service ("Terms") are a contract between AARK NETWORK PTE. LTD. ("AARK", "HisaBooks", "we", "us", or "our") and the business or organisation that creates, accesses, or pays for a HisaBooks workspace ("Customer", "you", or "your"). HisaBooks is a business software product of AARK NETWORK PTE. LTD..
1. Agreement, business use, and eligibility
You accept these Terms when you create a workspace, accept them during signup or checkout, use HisaBooks, or allow an Authorised User to use it. If you accept for a company or other legal entity, you represent that you have authority to bind that entity. HisaBooks is offered for business and professional use, not personal, family, or household use.
You must be at least 18 years old and legally capable of entering a contract. If you do not agree to these Terms, do not create or use a workspace.
The order, plan description, checkout summary, accepted quotation, or written order form associated with your subscription forms part of these Terms. If there is a conflict, the order of precedence is: signed order form for its stated scope, then checkout or subscription summary, then product-specific policy terms such as the Subscription Policy or DPA for their stated scope, then these Terms, then general marketing or support materials.
2. The service and applications
HisaBooks provides cloud-based business workflows which may include customers and suppliers, quotations, invoices, credit notes, purchase orders, inventory, service reports, delivery orders, payments, finance tracking, employees, attendance, leave, claims, payroll, approvals, notifications, reporting, document generation, and related features. Features depend on the selected plan, workspace configuration, permissions, country configuration, and application version.
You may access the service through the HisaBooks websites, APIs, installed desktop application, HisaBooks Business mobile application, or HisaBooks Team mobile application. The desktop and mobile applications are clients of the same hosted service; they do not create a separate subscription. Paid plans are purchased and managed on the HisaBooks website, not through the mobile applications.
Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to permit its Authorised Users to use the service for the Customer's internal business operations. No software or intellectual-property ownership is transferred.
3. Accounts, Company Administrators, and Authorised Users
The Customer must provide accurate company, administrator, billing, and contact information and keep it current. The Company Administrator controls the workspace, user access, enabled modules, permissions, company profile, country and tax configuration, and subscription settings. Instructions from a Company Administrator are treated as instructions from the Customer.
The Customer is responsible for every Authorised User it invites, for assigning only necessary permissions, and for promptly removing access when a user no longer requires it. Credentials are personal and must not be shared. You must protect company codes, usernames, passwords, recovery channels, authenticator secrets, devices, and active sessions and notify us promptly of suspected unauthorised access.
Email verification, multi-factor authentication, rate limits, session controls, and other security checks may be required. We may reject misleading account information or require reasonable proof of authority, identity, or company ownership.
4. Free plans, trials, and paid plans
A Free plan does not require a credit card unless clearly stated otherwise. It may include limited users, employee records, workspaces, storage, exports, communications, document branding, or other safeguards described on the pricing page. We may apply reasonable anti-abuse controls and may change Free-plan limits after notice. We will not convert a Free plan to a paid plan without the Customer's affirmative purchase.
Trials and promotional offers may have additional eligibility, duration, conversion, or feature conditions shown when offered. Unless the offer states otherwise, one Customer may not repeatedly create accounts to obtain the same trial or promotion.
Paid-plan entitlements are those shown in the accepted checkout summary or order form. Usage beyond included allowances may require an upgrade or add-on. We will show applicable recurring charges before purchase.
5. Fees, billing, automatic renewal, cancellation, downgrade, and refunds
5.1 Charges and payment
Paid subscriptions are charged in advance for the monthly or yearly billing interval selected at checkout. You authorise us and our payment processor to charge the payment method for recurring fees, approved add-ons, and applicable taxes. Stripe processes online card payments; HisaBooks does not receive or store the complete card number or card security code.
Fees and currency are shown before checkout. Unless stated otherwise, fees exclude taxes imposed on the Customer or transaction. You are responsible for accurate billing and tax information. We may issue invoices and receipts electronically.
5.2 Automatic renewal
Monthly subscriptions renew each month and yearly subscriptions renew each year until cancelled. Renewal is for the same interval at the then-current price, subject to any notice required by law. We will provide reasonable advance notice of a material price increase that applies at renewal.
5.3 Cancellation and downgrade
A Company Administrator may cancel through Settings > Subscription in the web application or contact support@hisabooks.com if that control is unavailable. Cancellation normally stops the next renewal and access continues through the current paid period. Deleting a mobile or desktop application does not cancel a subscription.
A downgrade normally takes effect at the next renewal unless the subscription screen states otherwise. If current usage exceeds the lower plan's limits, you may need to reduce users, records, workspaces, or enabled features before the downgrade can complete. Export important data before access to a feature ends.
The Subscription, Cancellation, and Refund Policy provides a plain-language summary of the standard billing, cancellation, failed-payment, downgrade, data-retention, and refund rules.
5.4 Failed payment
If payment fails, we may retry the charge, ask you to update the payment method, limit paid features, or suspend the workspace after reasonable notice. You remain responsible for accrued charges. Restoring service may require payment of overdue amounts.
5.5 Refunds and credits
Except where required by applicable law, paid fees are non-refundable and we do not ordinarily provide partial-period refunds or credits for unused time, forgotten cancellation, reduced usage, or a downgrade. If we permanently discontinue a paid service before the end of a prepaid term for reasons not caused by the Customer, we will provide a pro-rata refund or comparable credit for the unused period. Nothing in these Terms limits mandatory statutory rights.
6. Customer Data, privacy, and confidentiality
"Customer Data" means information, records, files, documents, images, signatures, and other content submitted to a workspace by or for the Customer. As between the parties, the Customer retains its rights in Customer Data. The Customer grants us a worldwide, non-exclusive licence to host, copy, transmit, display, transform, back up, and otherwise process Customer Data only as needed to provide, secure, maintain, support, troubleshoot, and improve HisaBooks as part of delivering the service; comply with law; and carry out the Customer's lawful instructions. We do not use Customer Data for unrelated marketing or to train general-purpose AI models.
For personal data in Customer Data, the Customer ordinarily determines why and how the data is used, while AARK acts as the Customer's service provider, processor, or data intermediary. For account administration, billing, fraud prevention, support, service security, and our own legal obligations, AARK may act as an independent controller or organisation. The Privacy Policy explains these roles and our data practices, and the Data Processing Addendum explains the baseline processing terms for Customer-controlled workspace personal data.
Each party must protect the other party's non-public business information with reasonable care and use it only for the relationship. This duty does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received without confidentiality restriction. A party may disclose information when legally required after giving notice where permitted.
7. Customer responsibilities and regulatory outputs
The Customer is responsible for the accuracy, quality, legality, and source of Customer Data; obtaining required notices, consents, and permissions; responding to individuals' requests; configuring access; and maintaining its own appropriate records and exports.
HisaBooks may calculate totals or support accounting, tax, payroll, CPF, GST, GST/VAT, HR, or statutory workflows for configured countries. It is software assistance, not legal, tax, accounting, payroll, employment, or financial advice. Country features may be incomplete or unavailable outside supported markets. The Customer must review every document, calculation, filing input, tax treatment, exchange rate, payroll result, and statutory output and is responsible for filings, payments, employment duties, record retention, and professional advice.
The Customer must not treat an availability label, tax-region option, template, report, or automated result as a certification of compliance. Singapore and India features must still be checked against the Customer's facts and current law; other countries may operate without local tax automation.
8. Acceptable use
You must not, and must not enable anyone to:
- use the service unlawfully or to infringe privacy, intellectual-property, employment, tax, sanctions, export-control, consumer-protection, or other rights;
- upload malware or harmful code, send spam, phishing, deceptive messages, or unlawful marketing, or abuse free accounts, emails, public links, or exports;
- access another tenant, bypass permissions or limits, probe or disrupt security, overload the service, or interfere with another user's use;
- reverse engineer, scrape, copy, resell, rent, sublicense, or create a competing service from HisaBooks except where law expressly permits;
- store data you are not legally permitted to process, including unnecessary sensitive identity, financial, health, or children's data; or
- use HisaBooks for emergency, life-critical, weapons, surveillance, or other high-risk purposes for which it was not designed.
We may investigate suspected misuse and preserve or disclose relevant information where lawful and reasonably necessary to protect users, the service, or others. The Acceptable Use Policy provides additional rules for lawful use, Free plan abuse, public links, communications, security testing, and prohibited content.
9. Third-party services and application stores
The service may depend on or link to third-party services such as hosting, email delivery, payment processing, push notifications, operating-system security, app stores, and customer-selected integrations. Their services are governed by their own terms and may change independently. We are not responsible for third-party services outside our control, but remain responsible for our obligations concerning providers we engage to process personal data.
Google and any other application-store provider are not parties to the HisaBooks subscription, do not provide HisaBooks support, and are not responsible for resolving billing questions for subscriptions purchased on our website. Store rules may also apply to downloaded applications.
10. Availability, support, updates, and beta features
We aim to provide a reliable service but do not promise uninterrupted or error-free operation unless a separate signed service-level agreement says otherwise. Maintenance, internet failures, provider outages, security incidents, force majeure, and emergency changes may affect availability. Support is provided through the channels and service levels stated for the plan.
Neither party is responsible for delay or failure caused by events beyond its reasonable control, including natural disaster, labour disruption, internet or utility failure, provider outage, war, civil unrest, government action, legal restriction, epidemic, or major security event, except that payment obligations already accrued are not excused.
We may add, modify, replace, or discontinue features to improve the product or address security, legal, technical, or operational needs. We will give reasonable notice where a change materially reduces core paid functionality and advance notice is practicable. You must install required desktop or mobile updates to continue using supported and secure versions.
Preview, beta, early-access, or experimental features may be incomplete, change without notice, and are provided for evaluation. Do not use them for critical records unless we expressly state they are production-ready.
11. Intellectual property and feedback
HisaBooks, its applications, APIs, designs, code, documentation, templates, trademarks, and service-generated materials are owned by AARK or its licensors and protected by law. Customer Data and the Customer's own marks remain the Customer's property. If you provide suggestions or feedback, you allow us to use them without restriction or payment, without identifying you publicly unless you consent.
12. Suspension, termination, export, and deletion
We may suspend or limit access when reasonably necessary to prevent harm, secure the service, respond to unlawful use, comply with law, address overdue payment, or enforce these Terms. Where appropriate, we will provide notice and an opportunity to remedy the issue.
The Customer may stop using a Free plan or cancel a paid subscription at any time. We may terminate a materially breached agreement if the breach is not cured within a reasonable period stated in our notice, or immediately where the breach cannot be cured, creates material security or legal risk, or involves fraud or deliberate abuse.
Before termination or plan reduction, the Customer should use available export tools. After the service period ends, workspace access may be restricted and Customer Data may be deleted or anonymised according to the Privacy Policy, our retention schedule, legal requirements, and backup lifecycle. We may retain billing, acceptance, security, dispute, and compliance records where lawfully required. Termination does not remove amounts already due.
Sections intended by their nature to continue after termination survive, including payment obligations, confidentiality, intellectual property, Customer Data licence for retained records and backups, warranty disclaimers, liability limits, indemnity, governing law, dispute terms, and any retention or deletion provisions.
13. Disclaimers, liability, indemnity, and governing law
13.1 Disclaimers
To the maximum extent permitted by law, HisaBooks is provided "as is" and "as available". We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and that outputs will satisfy every legal or regulatory requirement. Nothing excludes a warranty that cannot lawfully be excluded.
13.2 Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profit, revenue, goodwill, opportunity, or anticipated savings. AARK's total aggregate liability arising from the service or these Terms will not exceed the fees paid or payable by the Customer to AARK for HisaBooks during the 12 months immediately before the event giving rise to the claim. For a Free plan, AARK's total aggregate liability will not exceed S$100.
The limitations do not apply to liability that cannot be limited by law, fraud or fraudulent misrepresentation, death or personal injury caused by negligence, the Customer's payment obligations, or a party's deliberate infringement of the other party's intellectual-property rights.
13.3 Indemnity
The Customer will defend and indemnify AARK against third-party claims, damages, penalties, and reasonable costs arising from Customer Data, the Customer's unlawful or unauthorised use, breach of the Acceptable Use section, or failure to obtain required rights or consents, except to the extent caused by AARK's breach of these Terms.
13.4 Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. The parties will first try in good faith to resolve a dispute through written notice and discussion for at least 30 days. If unresolved, the courts of Singapore have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court. Mandatory rights and forums that applicable law does not allow the parties to exclude remain unaffected.
14. Changes, notices, general terms, and contact
We may update these Terms for legal, security, operational, or product reasons. We will post the new version and update its date. For a material change, we will provide reasonable notice through the service, email, or another appropriate channel and may request renewed acceptance. Continued use after the effective date constitutes acceptance where permitted by law.
Notices to the Customer may be sent to a Company Administrator, billing email, or displayed in the service. Legal notices to AARK must be sent to support@hisabooks.com with the subject "Legal Notice". Support questions may use the same address.
You may not assign these Terms without our written consent, except as part of a bona fide merger or sale of substantially all relevant assets with written notice. We may assign them to an affiliate or successor. If one provision is unenforceable, it will be limited to the minimum necessary and the rest remains effective. A failure to enforce a provision is not a waiver. These Terms and incorporated order documents are the entire agreement about the service and supersede prior discussions on that subject.
